Background
A global media company was looking to acquire an international business owning proprietary technology with regards digital advertising capabilities.
Issue
The transaction involved due diligence of a sophisticated tech product which was being utilised globally and the buyer was focussed on ensuring it maximised coverage of the proprietary IP on broad terms. The structure of the target company was complicated with over a hundred sellers and the acquisition documents were split into three separate purchase agreements to be insured.
Solution
